Somany Ceramics gets NCLT order for amalgamation scheme

Somany Ceramics Limited has received the First Motion Order from the National Company Law Tribunal (NCLT), Kolkata Bench, regarding the Scheme of Amalgamation. The scheme involves the merger of Somany Bathware Limited, Somany Excel Vitrified Private Limited, and SR Continental Limited (Transferor Companies) with Somany Ceramics Limited (Transferee Company). The NCLT pronounced the order on April 9, 2026, and uploaded it on April 10, 2026. As per the order, meetings of equity shareholders and unsecured creditors of Somany Ceramics will be convened on Saturday, June 13, 2026, via video conferencing. The NCLT has dispensed with the meetings of equity shareholders and unsecured creditors of the Transferor Companies, as well as secured creditors of both Transferor and Transferee Companies.
