Ambuja Cements completes Penna Cement merger

Ambuja Cements Ltd announced the effectiveness of its Scheme of Arrangement with Penna Cement Industries Limited on April 10, 2026. The Hon'ble National Company Law Tribunal, Ahmedabad Bench, sanctioned the scheme on March 30, 2026, and the certified order was filed with the Registrar of Companies today. With this filing, all conditions of the scheme have been met, and Penna Cement Industries Limited stands amalgamated with Ambuja Cements and is dissolved without being wound up. The appointed date for the scheme is August 16, 2024. Equity shareholders of Penna Cement as of the effective date, April 10, 2026, will receive cash consideration as per the scheme's terms.
